British artificial intelligence cloud company Nscale has secured $3.36 billion in pre-IPO convertible financing, one of the largest infrastructure funding rounds in the AI sector this year, ahead of a planned US stock market listing. The London-based company announced the raise on September 25. Structured as convertible loan notes led by hedge fund Third Point, the deal attracted a roster of new and existing investors including Nvidia, funds managed by Apollo, Citadel, Hudson Bay Capital, the Abu Dhabi Investment Council and 8090 Industries. How the deal is structured. The financing consists of an initial $2.36 billion tranche available at closing, followed by a separate $1 billion commitment from Nvidia expected to be funded in mid-November 2026. The loan notes will convert automatically into ordinary shares once Nscale completes its initial public offering. Nvidia's notes will instead convert into non-voting shares. The announcement did not disclose the conversion valuation, interest rate or maturity terms. Goldman Sachs & Co. acted as placement agent. The announcement came roughly a week after Nscale filed its IPO paperwork. TechCrunch reported that the company is expected to be valued at $35 billion when it lists on the New York Stock Exchange and is seeking to raise about $3 billion in the offering, according to Bloomberg. What the money is for. Nscale says the capital will accelerate the build-out of its vertically integrated AI cloud platform — spanning behind-the-meter power plants, liquid-cooled data centres and large GPU clusters — to meet accelerating demand for AI cloud services. The company, which serves hyperscalers, frontier model labs, AI-native firms and enterprises, reports more than $103 billion in total contracted value across its business, a measure of contract commitments rather than revenue already earned. Nscale was spun out of Australian cryptocurrency mining company Arkon Energy two years ago and is currently developing several large data centre campuses, including in Norway and West Virginia, according to TechCrunch.
